Constitution Of Suining Library


Chapter 一  General Provisions

Article 1 In order to regulate the behavior of Suining County Library(hereinafter referred to as "the Library"), this constitution is formulated in accordance with the Provisional Regulations on Registration and Administration of Public Institutions and its implementation rules and relevant state laws and regulations, and the actual management, operation and service of public welfare institutions.

Article 2 The name of the Library is Suining County Library.

Article 3 The location of the Library is the intersection of Yong'an Road and West Huajing Road in Suining County, within the Cultural Arts Center.

Article 4 The source of funding for the Library is the full financial allocation.

Article 5 The capital of the Library is 5.1 million Yuan.

Article 6 The organizer of the Museum is the Culture, Sports, Radio, Film and Tourism Bureau of Suining County.

Article 7 The registration and management authority of the Museum is the Registration Administration of Public Institutions of Suining County.

Chapter 二 Purpose And Scope Of Business

Article 8 The purpose of the Museum is to collect, lend books and literature, preserve cultural heritage, develop and transmit cultural, scientific and technological information, edit and publish books, periodicals and materials, conduct knowledge training and social education, provide equalization, standardization and standardization services for the public, spread knowledge, inherit civilization, promote cultural prosperity and social progress.

Article 9 The scope of business of the Library includes.

(一)construction of documentary information resources:

1. collection of various types of literature and information resources, scientific processing and management and maintenance of resources.

2. to carry out the construction of characteristic documentary information resources, comprehensively collect and organize local documents in Suining County; collect and promote the protection, display, development and utilization of ancient books including the documents of the Republic of China; carry out the digitization of characteristic resources and form a digital library of characteristic resources.

3. promote the construction of literature and information guarantee system in Suining County and promote the common construction and sharing of resources in the region.

(二)public cultural services:

1. provide literature services: including literature borrowing and copying; digital resources query and utilization; literature recommendation, inter-library loan, literature transfer, etc.

2. providing reader activities: including lectures, exhibitions, educational training, interactive experiences, visits, and various other reading promotion activities.

3. provide information services: including reference consultation, search and inspection, thematic information services, subject services, government information disclosure and services for government decision-making, etc.

4. provide space services: including the provision of public learning and communication (such as self-study space), cultural leisure, meeting and exhibition venues and virtual network space, etc.

5. provide services for special groups: including targeted services for the elderly, minors, urban migrant workers, people with disabilities and other groups.

6. provide extended services: including the provision of literature and information resources, digital resources and other cultural services for government agencies, schools, rural areas, communities, enterprises and institutions, military camps, etc., and the extensive construction of branch libraries, circulation sites, etc., to expand the content and scope of services.

 7. provide non-profit services such as document reproduction, restoration, data processing and other auxiliary services.

(三)collaborative and coordinated work

1. to carry out county-wide library service network construction, and promote the overall development of the county's public library business.

2. to carry out cross-district and cross-system collaboration and exchange between libraries to promote the development of the library business.

3.to carry out grass-roots counseling and training, guide the construction and development of public libraries in counties and towns (streets), and improve the service level of grass-roots library workers.

4. to carry out the work of Suining County Library Association and promote business exchanges and academic research among library workers in the county.

5. carry out the construction and sharing of documentary information resources, promote the construction and service of digital culture in the county, and guide the construction and development of the county's grass-roots information resource sharing project, public electronic reading room and digital library promotion project.

    6. to carry out exchanges and cooperation with all sectors of society. services.

(四)other related business.

Chapter 三 Rights Of The Organizing Unit

Article 10 The Cultural, Radio and Sports Bureau of Suining County, as the organizing unit, has the following rights.

(一)to approve the constitution of the museum and the revised program of the constitution.

(二)to approve the management and operation system of the museum in accordance with laws, regulations and rules.

(三)appoint or appoint the director.

(四)to manage the personnel, financial and operational work of the Museum in accordance with relevant regulations.

(五)promote the formation of the Board of Directors, promote the reform of the corporate governance structure, and approve the constitution of the Board of Directors.

(六)supervision and assessment of the work.

(七)other rights stipulated by laws, regulations and rules.

Chapter 四 Service Objects And Service Personnel

Article 11 The object of the Library's services is the entire public (hereinafter referred to as "readers"), including organizations, institutions, groups and individuals.

Article 十二 Readers enjoy the following rights

(一)to make suggestions on the business development and service work of the Library as required;

(二)the right to equal access to the cultural information resources of the Library;

(三)the right to participate equally in the relevant activities of the Library in accordance with the provisions;

(四)supervision of the services of the Museum and the right to criticism and praise;

(五)othe rights stipulated by laws and regualtions.

Article 13 Obligations to be performed by readers

(一)comply with laws and regulations, public order and the relevant rules and regulations of the library, and consciously maintain a good reading environment;

(二)care for the library equipment and facilities;

(三)care for the library's literature and information resources;

(四)onsciously maintain a good personal image;

(五)respect intellectual property rights and use literature and information resources in accordance with the law;

(六)other obligations stipulated by laws and regulations.

Article 14 The service staff refers to the staff employed by the Library with a labor contract relationship with the Library (hereinafter referred to as "staff").

Article 15 Employees have the following rights

(一)the right to equitable developemnt according to their own conditions;

(二)the right to make fair use of the public resources of the Museum in accordance with the regulations;

(三)the right to participate in decision-making on the construction and development of the Museum; the right to information and supervision of the affairs of the Museum;

(四)the right to fair evaluation in terms of morality, competence, diligence and performance;

(五)the right to fair competition in job competition and other aspects; 

(六)the right to object to or appeal against rewards or punishments;

(七)the right to receive remuneration and benefits in accordance with the law;

(八)other rights stipulated in laws, regulations, rules and employment contracts.

Article 16 Obligations to be performed by employees

(一)Consciously abide by the laws and regulations and the rules and regulations of the Museum;

(二)consciously perform the duties of the post, abide by professional ethics, love and dedication to work, and enthusiastic service;

(三)respect the privacy of readers, safeguard the rights and interests of readers, and protect the security of their personal information;

(四)study business, actively engage in academic research, and improve their overall quality;

(五)respect intellectual property rights and use literature and information resources in accordance with the law;

(六)consciously safeguard the reputation and rights of the Library;

(七)other obligations stipulated by laws and regulations and the rules and regulations of the Library;

Article 17 The Library shall implement a post employment appraisal system and conduct a comprehensive appraisal of employees in terms of morality, competence, diligence and performance, and the results of the appraisal shall be used as an important reference basis for the promotion of positions and titles, salary adjustment and commendation and awards. Violations of discipline, according to the seriousness of the circumstances shall be dealt with in accordance with the law.

Article 18 The museum engaged in volunteer services, logistics and exchange, attachment and other personnel to the museum, according to the provisions of the law and the rules and regulations of the museum, enjoy the corresponding rights and fulfill the due obligations.

Chapter 五 Organization And Management System

Section 一 Council

Article 19 The Council is the decision-making and supervisory body of the Museum. Each term of the Council is three years.

Article 20 The Council consists of 10 directors, its sources, quotas, the way to produce:

)the holding unit to appoint three directors;

(二)the Secretary of the Party Committee of the Museum as an ex-officio director of 1;

(三)on behalf of the Museum's service targets and the community's social representatives of the 6 directors. Social representative director for the community to openly select and hire, on the basis of voluntary registration or organizational recommendations by the organizing unit selection.

All directors are appointed by the organizing unit audit.

Article 21 The Council exercises the following powers:

(一)the development of amendments to the constitution, and reported to the organizing unit for approval;

(二)finalize the basic management system of the Museum, and reported to the organizing unit for the record;

(三)review the development plan, annual work plan, annual work report, budget report, final account report and major business matters of the Museum, and report to the organizing unit for approval or record in accordance with the provisions;

(四)consider the director and deputy director candidates;

(五)to form advisory committees as needed;

(六)supervise the management of the implementation of Council resolutions, and assessment of the work of management and advisory committees;

(七)other powers and responsibilities as provided by laws, regulations and rules.

Article 22 The term of office of each director is the same as that of the Council, with a term of three years. The term of office expires, and can be re-elected.

Article 23 The council members enjoy the following rights:

(一)to attend the meetings of the Council, enjoy the right to speak, propose, vote, elect and be elected;

(二)to supervise and inspect the implementation of the resolutions of the Council by the Museum;

(三)supervise the management in the execution of their duties and propose the removal of those who violate the laws, regulations, this constitution or the resolutions of the Council;

(四)supervise the use of the funds of the Museum;

(五)propose the convening of temporary meetings of the Council;

(六)proposals to the Council;

(七)other rights granted by the Council.

Article 24 The directors shall abide by the laws, regulations and this constitution and fulfill the following obligations:

(一)exercise their powers within the scope of their duties;

(二)to implement the resolutions of the Council;

(三)to participate in the meetings of the Council and related activities on time;

(四)to understand the purpose and scope of business of the Library and take the initiative to pay attention to the development and changes of the Library;

(五)to fulfill the obligation of confidentiality in accordance with the provisions of the library shall not disclose or disclose the confidential information of the library;

(六)not to use the position of director to gain any illegal benefits;

(七)the consideration of the relevant motion may give rise to a conflict of interest, should be recused.

Article 25 The director is a non-salaried position of social welfare. The director does not receive salary for the position of director in the Museum, and the transportation and communication expenses arising from the performance of the director's duties are charged according to the relevant regulations of the Museum.

Article 26 The director may resign before the expiration of his or her term of office. The resignation of the director shall submit a written resignation report to the chairman of the board, approved by the organizing unit, the director's qualifications are terminated. The resignation of the appointed director shall be agreed by the appointed unit.

Article 27 The director has the following circumstances, the organizing unit in accordance with the procedures to terminate its directorship:

(一)without valid reasons for more than three consecutive (including) do not attend the Council meeting;

(二)due to their health and work and other reasons, there is not enough time and energy to perform the duties of the director;

(三)engaged in activities detrimental to the interests of the Museum;

(四)violation of national laws, regulations, normative documents and the constitution of the museum caused significant economic losses, or be held criminally responsible;

(五)other circumstances stipulated by laws, regulations and rules.

Article 28 The Council has a chairman, elected by the Council, appointed by the organizing unit review.

Article 29 In addition to enjoy the rights of the chairman of the Council, but also to exercise the following powers:

(一)convene and preside over the Council meeting, and report to the Council;

(二)to sign important documents of the Council;

(三)to supervise and check the implementation of the Council's resolutions;

(四)the Articles and other powers and responsibilities granted by the Council.

Article 30 The chairman of the Board of Directors for any reason can not exercise its powers, the unit designated in writing by a director to temporarily act in his place.

Article 31 Council meeting procedures:

(一)determine the agenda of the meeting topics;

(二)regular meeting 5 days before the meeting, the meeting notice, draft meeting agenda and related documents sent to all directors;

(三)convene a meeting of the Council, the Council shall first seek to reach agreement by means of full consultation. In the event that no agreement can be reached on a particular resolution, a vote may be taken.

(四)vote and form a resolution;

(五)according to the relevant circumstances of the meeting, form the minutes of the Council meeting in a true and complete manner, signed by the members present; and convey, report or disclose to the relevant parties in accordance with the relevant provisions.

Article 32 The meeting of the Council shall be held only when two-thirds or more of the members are present.

Article 33 The resolution of the meeting shall be voted by roll call, and each member shall have one vote.

General matters shall be passed by more than half of all directors, and the consideration of the unit's constitution, business development plan, financial budget and the nomination or appointment of the unit's management personnel and other important matters shall be passed by more than two-thirds of all directors.

Council resolution violates the laws, regulations and the provisions of the unit's constitution, the vote in favor of the director bears the corresponding responsibility, not in favor of the responsibility.

Article 34 The Council meeting shall form the minutes of the meeting.

The formation of the resolution, should be formed on the spot minutes, and by the attendance of directors to review, sign.

The minutes of the Council meetings should be properly kept as important files to serve as an important basis for clarifying the responsibilities of the Council members in the future. The minutes of the Council meeting shall contain the following contents:

(一)the number of directors attending the meeting of the Council, the number of people present;

(二)the date and place of the meeting;

(三)the main topics of the meeting and the agenda;

(四)the main points of the speech of the directors;

(五)the voting results of the matters submitted to vote;

(六)other contents that the Board of Directors considers should be included in the minutes of the meeting.

Section 二 Management

Article 35 The management of the Museum shall consist of an administrative leadership team consisting of the Director and the Deputy Director and the leadership team of the Party Committee, and shall implement the system of responsibility of the Director. The director is the legal person of the museum.

Article 36 The museum implements the collective deliberation system of the leadership team, and holds a weekly meeting of the general office of the director (leadership team) to study and discuss important matters of administration, business, management and development, and make decisions.

Article 37 The library on the basis of the curatorial responsibility system, each deputy director in charge according to the work of the division, management, guidance and coordination of the departments and business in charge, following the principle of integration, block management, clear division of labor, mutual coordination.

Article 38 The management performs the following powers:

(一)responsible for the daily operation and management of the Library.

(二)to formulate the basic organizational management system and organize its implementation.

(三)to coordinate and manage the business development of the Library

(四)to be responsible for information disclosure matters of the Museum; and

(五)responsible for and reporting to the General Council of Curators; implementation of the resolutions of the General Council of Curators.

(六)other powers and responsibilities under the laws, regulations and rules

Article 39 The Director shall exercise the following powers:

(一)overall responsibility for the day-to-day management of the Museum, presiding over the General Assembly of the Director, the organization and implementation of the resolutions of the General Assembly of the Director.

(二)the formulation and organization of the implementation of development plans, annual work plans, the organization of the preparation of the annual work report;

(三)the formulation and implementation of the annual budget program;

(四)overall responsibility for the unit's business, personnel, finance, assets and other work

(五)regularly report to the organizing unit

(六)in the event of an emergency requiring emergency disposal, the exercise of special disposal of the affairs of the Museum in accordance with the provisions of laws and regulations and the interests of the unit, and timely reporting to the organizing unit;

(七)other powers and responsibilities under the laws, regulations and rules.

Article 40 The director of the library, as the proposed candidate for the legal representative of the library, shall obtain the qualification after the registration is approved by the Suining County Public Institution Registration Administration.

Article 41 The middle-level cadres of the department of the Museum, as the executive level under the management, perform the duties of their positions in accordance with the relevant decisions of the management and the tasks of the department.

Article 42 The Party organization of the Museum performs its functions in accordance with the Constitution of the Communist Party of China and relevant regulations. Support the Director of the Library to exercise his powers independently and responsibly.

Chapter 六  Finance And Assets

Article 43 The legitimate assets of the Museum shall be protected by law, and no unit or individual shall appropriate, privately divide or misappropriate them.

Article 44 The use and management of the assets of the Museum shall be consistent with the purpose and business scope of the Museum, to maximize the benefits of the assets and maximize the achievement of public welfare objectives.

Article 45 The Museum shall implement the "Financial Rules for Public Institutions", "Interim Measures for the Management of State-owned Assets of Public Institutions" and other regulations and provisions of the relevant asset and financial systems, and shall be supervised by the relevant competent authorities in accordance with law.

Article 46 The Museum in accordance with relevant laws and regulations to provide and manage financial management personnel, asset management personnel, to maintain the safety and integrity of state-owned assets, rational allocation and effective use of state-owned assets.

Article 47 The personnel of the Museum salaries, social insurance, welfare benefits in accordance with relevant state regulations and the provisions of the employment contract.

 Article 48 When the director leaves office, the economic responsibility audit shall be conducted in accordance with the provisions.

 Chapter 七 Information Disclosure

Article 49 The Museum undertakes to disclose the following information on the portal site of the Museum in a true, complete and timely manner in accordance with the national laws and regulations and the regulations of the Suining County Public Institution Registration Administration.

(一)basic information of the Museum;

(二)the development plan, annual work plan and annual work report of the Museum;

(三)the establishment and changes of the institution;

(四)service related data of the Library;

(五)social consultation and complaints;

 (六)other matters that should be disclosed under the laws, regulations and rules.

Chapter 八 Termination and Management of Surplus Assets

Article 50 The Museum shall be terminated in one of the following cases.

(一)the organizing unit decides to dissolve;

(二)dissolution due to merger or separation;

(三)dissolution by its own decision in accordance with laws and regulations and the Articles of Association;

(四)other termination reasons stipulated by laws and regulations.

Article 51 The Museum shall be dissolved by its own decision, shall be voted by the General Assembly of the Director, the termination resolution reported to the organizing unit for approval.

Article 52 The Museum shall, before applying for deregistration, set up a liquidation organization under the guidance of the organizing unit and the relevant competent authorities to carry out liquidation. Liquidation period does not carry out activities other than liquidation.

Article 53 The liquidation work shall be completed, a liquidation report shall be formed and reported to the organizing unit for examination and approval, and an application for deregistration shall be made to the Suining County Public Institution Registration Administration.

Article 54 The remaining assets of the Museum after termination shall be disposed of in accordance with relevant laws and regulations and the Articles of Association under the supervision of the organizing unit and relevant competent departments.

Chapter 九 Finance and Assets

Article 55 The Museum shall amend the Articles of Association in any of the following cases.

(一)the matters provided for in the charter and the provisions of the amended national laws and administrative regulations contradict;

(二)the Museum's situation has changed and is inconsistent with the matters recorded in the constitution;

(三)the organizing unit or the General Assembly of the Director of the library that the need to amend the charter.

Article 56 The amendment of the Articles of Association must be discussed by the staff representative assembly, discussed by the joint meeting of the Party and the government and passed by two-thirds or more, approved by the organizing unit and reported to the Suining County Public Institution Registration Administration for registration. For matters involving the registration of this museum as a legal person, it must apply to the Suining County Administration of Registration of Public Institutions for registration of changes.

Chapter 十 By-laws

Article 57 The present Articles of Association shall be submitted to the Administration of Registration of Public Institutions of Suining County for registration after consultation with the public, discussion and adoption by the staff representative assembly, consideration by the joint meeting of the Party and the government, and approval by the organizing unit.

Article 58 In case the content of this constitution is in conflict with laws, regulations, administrative rules and national policies, the provisions of laws, regulations and national policies shall prevail. For matters involving the registration of the Suining County Library as a legal person, the contents of the Certificate of Legal Person of the Institution approved and issued by the Suining County Administration of Institution Registration shall prevail.

Article 59 These Articles of Association shall be interpreted and amended by the organizing unit.

Article 60 The present Articles of Association shall take effect from the date of publication.
